Terms of Service

These Terms of Service ("Terms") govern your access to and use of Tonic Studio ("Tonic", "we", "us") and its services. By creating an account or using Tonic, you agree to these Terms.
1. The Service
Tonic Studio provides AI-assisted tools for creating scripts, video content, and marketing materials targeted at wellness and direct-to-consumer brands ("the Service"). The Service is provided on a subscription and credit basis.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.
3. Your Account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at legal@tonicstudio.ai if you suspect unauthorised access.
4. Acceptable Use
You agree not to use the Service to:
- Generate content that is false, misleading, or fraudulent
- Make unsubstantiated health claims or claims that violate FTC guidelines
- Create content that infringes third-party intellectual property rights
- Harass, defame, or harm any individual or group
- Violate any applicable law or regulation
You are solely responsible for ensuring that content you generate and publish complies with all applicable laws, including advertising regulations, health claims rules, and platform policies.
5. AI-Generated Content
The Service uses artificial intelligence to generate scripts, video content, and related materials. AI-generated content may contain inaccuracies, errors, or content unsuitable for publication. You must review, edit, and verify all AI-generated content before use. Tonic makes no warranty that generated content is accurate, complete, legally compliant, or fit for any particular purpose.
6. Compliance Disclaimer
Tonic's compliance features (including script checking and FTC guidance) are provided as informational tools only and do not constitute legal advice. They do not guarantee compliance with any law, regulation, or platform policy. You should seek independent legal counsel for compliance questions specific to your products or claims.
7. Intellectual Property
Your content. You retain ownership of content you upload or provide as inputs. You grant Tonic a limited licence to process that content solely to provide the Service.
Generated outputs. Subject to these Terms, you own the outputs generated for you using the Service. You represent that you will not use those outputs in ways that infringe third-party rights.
Tonic's IP. The Service, including its software, models, and interfaces, is owned by Tonic and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service.
8. Credits and Payment
Credits are consumed when you generate content. Credits are non-refundable except as described in our Refund Policy. Unused credits expire as described in your plan documentation.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED CONTENT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TONIC'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO TONIC IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL TONIC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification
You agree to indemnify, defend, and hold harmless Tonic and its officers, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.
12. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting support@tonicstudio.ai.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or within the Service. Your continued use after changes take effect constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
